DISPUTES

Any claim, dispute, or controversy arising out of, relating to, or concerning this Site and/or this agreement shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) under its rules then in effect. The arbitration shall be conducted in The Woodlands, Texas, USA, and the decision of the arbitrator shall be final and binding on all parties. Judgment on the arbitration award may be entered in any court having competent jurisdiction. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in the state or federal courts located in Montgomery County, Texas, USA, at any time, to protect its intellectual property rights or confidential information.

Use of this Site is unauthorized in any jurisdiction that does not give full effect to all provisions of this agreement, including without limitation this paragraph and the warranty disclaimers and liability exclusions above. ONIBEX, INC. has endeavored to comply with all legal requirements known to it in creating and maintaining this Site, but makes no representation that materials on this Site are appropriate or available for use in any particular jurisdiction. Use of this Site is unauthorized in any jurisdiction where all or any portion of this Site may violate any legal requirements and you agree not to access this Site in any such jurisdiction. ONIBEX, INC. may assign or transfer this agreement, in whole or in part, without restriction or notice to you, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.
